Commercial Terms (CGV)

1 Scope

These Commercial Terms (Conditions Générales de Vente) govern the paid use of voko, operated by [Legal entity name]. They complement our Terms of Service. By funding a wallet or accepting a booking, you accept these terms.

2 Pricing

• Self-serve — €0 / month. Full marketplace access to run campaigns in-house.
• Managed — €500 / month. voko plans, launches and reports on your campaigns. Month-to-month, no lock-in.
• Creator spend is billed separately at €1.50–2.50 per qualified click, depending on volume. Creator payouts are included in that price.
• voko's platform fee is approximately 30% of creator spend, already reflected in the per-click price shown to the brand. The creator always receives the net rate they set.

All amounts are in euros (EUR), excluding VAT where applicable.

3 Qualified-click definition

Brands are billed only for qualified clicks. Every click on a tracked link is logged and retained (whether qualified or not); the qualified status is never deleted. A click is qualified unless it fails one of the objective, automated checks below — applied in this order:

1. Bots. Clicks from known bot or automation user agents, or from requests missing the headers a real browser always sends (Accept and Accept-Language), are marked reject_reason = bot and not billed.
2. Duplicates. A repeat click from the same hashed visitor on the same post within 24 hours is marked reject_reason = duplicate and not billed.
3. Rate limit. More than 8 clicks per minute from the same hashed visitor are marked reject_reason = rate_limit and not billed.

The visitor is identified by a salted SHA-256 hash of their IP address — the raw IP is never stored. These same thresholds are enforced in the platform code, so the billed figure always matches the definition above.

4 Wallet & billing

• Brands pre-fund a wallet. Qualified clicks are debited from the wallet balance as they occur.
• Managed subscription fees are charged monthly in advance.
• All amounts are handled in cents to avoid rounding errors. Payment is processed by our payment provider [Stripe, once enabled].

5 Creator payouts

• Once a post is live and verified, the creator's payout is triggered automatically and paid within 48 hours.
• The creator receives the net rate they set. The voko platform fee is borne by the brand within the per-click price.
• Payouts are made to the payment account the creator connects [Stripe Connect, once enabled].

6 Invoicing & self-billing

Where a creator authorises it during onboarding, voko issues invoices in the creator's name and on their behalf (self-billing / autofacturation) for the services delivered through the platform. Invoices are sequentially numbered and carry the mentions required by law, including the “Autofacturation” notice and the applicable VAT treatment. The creator remains responsible for their own tax and social obligations.

7 Taxes

Prices are exclusive of VAT unless stated otherwise. VAT is applied according to the status and country each party declares. voko's VAT number is [EU VAT number].

8 Refunds & disputes

Because only qualified clicks are billed, billed clicks are final. Unused wallet balance can be refunded on request, less any amounts already committed to live campaigns. Disputes about attribution should be raised within [N] days of the invoice date at [contact@your-domain].

9 Changes to pricing

We may change pricing with prior notice. Changes do not affect campaigns already funded and running at the time the change takes effect.

10 Governing law

These Commercial Terms are governed by the laws of France.
